California Technology Lawyers for Software Audit Defense, ERP Disputes & Licensing Litigation

Tactical Law Group LLP is a California boutique law firm focused primarily on complex legal disputes at the intersection of technology, intellectual property, and business agreements. Based in San Francisco, we represent mid-market and large companies in high-stakes software licensing disputes, including failed ERP implementation claims, SaaS contract conflicts, and software publisher audit defense — in California and across the United States.

The firm was founded by former Am Law partners and senior in-house counsel who understand how enterprise software is sold, licensed, implemented, and enforced. That practical, technical knowledge is what distinguishes our representation: we do not simply litigate facts — we understand the underlying technology, the vendor's playbook, and the leverage points that drive resolution.

We resolve the majority of matters through strategic negotiation and early dispute positioning, without litigation. When arbitration or litigation is unavoidable, we are fully prepared to prosecute or defend claims through trial.

Software Audit Defense — Oracle, Quest, Microsoft, VMware, Actian, Anaconda, IBM & Others

Tactical Law Group is a recognized leader in software audit defense. We regularly defend companies facing aggressive compliance demands and audit enforcement actions from major software publishers, including:
  • Oracle (including NetSuite, Java, and Oracle Database audits)
  • Quest
  • SAP
  • VMware / Broadcom
  • IBM
  • Adobe
  • Autodesk
  • Actian
  • Anaconda
  • Micro Focus
  • Microsoft
  • BSA | The Software Alliance
With deep knowledge of publisher enforcement strategies, audit playbooks, license metrics, audit scope clauses, and common contractual traps, we help clients:
  • Control audit scope, timeline, and process from the outset
  • Identify and challenge overbroad or improper audit claims
  • Reduce or eliminate alleged compliance exposure
  • Negotiate settlements from a position of informed strength
  • Implement proactive audit risk management before a demand arrives
Whether you are already under audit or seeking to assess your license exposure before a publisher makes contact, Tactical Law Group provides decisive, experienced guidance.

Representative Software Audit Litigation Experience

The vast majority of our software audit defense cases have resulted in an amicable resolution.  However, when litigation becomes inevitable we have experience defending companies from predatory software audits, and resolving those cases short of trial. Representative software audit defense cases include Oracle America, Inc. vs. Cogent Communications, Inc., (N.D. Cal. Case No. 3:16-CV-04828), Quest Software Inc. v. HealthEquity,
(C.D. Cal. Case No. 8:23-cv-01909), Oracle America Inc. v. NEC Corporation of America,(N.D. Cal. Case No. 3:23-CV-05270), and Actian Corporation v. Mirion Technologies, Inc. (N.D. Cal. Case No. 3:23-CV-05815).

ERP Implementation Dispute Attorneys — Oracle, NetSuite, Epicor, Sage, Unanet, & More

Tactical Law Group represents companies in high-stakes disputes arising from failed or materially deficient ERP implementations, licensing conflicts, and breakdowns in the relationship between companies, their software vendors and their implementation partners.

Our ERP dispute clients range from mid-market companies to large enterprises. We have handled disputes involving:
  • Oracle including Oracle Fusion and Oracle NetSuite implementations
  • Epicor
  • Sage
  • Unanet
  • Other mid-market and enterprise ERP platforms

What Our ERP Clients Face

We routinely handle disputes arising from oversold functionality, misrepresented go-live timelines, system and architectural design failures, cost overruns, project abandonment, and post-implementation failures that cripple business operations. While vendors and integrators routinely attribute these failures to client-side execution problems, our experience consistently shows that the root cause lies in how the system was sold — and what was promised.

Our ERP dispute practice covers claims against both software publishers and implementation partners, including fraud in the inducement, misrepresentation, breach of contract, unfair business practices, and related torts.

Representative Experience

Tactical Law Group filed River Supply, Inc. v. Oracle America, Inc., NetSuite Inc., et al. (N.D. Cal. Case No. 3:23-cv-02981) on behalf of a mid-market company alleging fraud in the inducement, promissory fraud, negligent misrepresentation, breach of contract, theft of money, and unfair business practices arising from Oracle's SuiteSuccess implementation program. The case targeted Oracle's alleged practice of misrepresenting the capabilities of its cloud ERP solution and the timeline required to go live in order to secure contracts with small and mid-size businesses.

Technology Transactions & Licensing Counseling

In addition to dispute resolution and software audit defense, Tactical Law Group provides comprehensive legal support for technology companies and technology-dependent businesses, including:
  • Drafting and negotiating software, SaaS, and enterprise licensing agreements
  • Intellectual property protection, registration, and enforcement
  • Commercial contract strategy and risk management
  • Pre-implementation contract review for ERP and cloud platform deployments
  • Regulatory and compliance guidance for technology operations

Our transactional work is grounded in real-world dispute experience. We know where these agreements break down — and we draft accordingly.

California-Based. Nationally Active, Globally Connected

Tactical Law Group is headquartered in San Francisco, California. For matters requiring representation outside U.S. jurisdictions, we work with a trusted network of affiliated firms to provide seamless, cost-effective service.

Frequently Asked Questions
What is software audit defense and do I need an attorney?
A software audit is a formal demand from a software publisher — such as Oracle, Quest, Microsoft, SAP, or VMware — requiring you to document and verify your license compliance. Publishers use audits aggressively to generate significant post-audit revenue through alleged compliance gaps, true-ups, and backdated licensing fees. An experienced software audit defense attorney can control the audit scope, challenge overbroad claims, and dramatically reduce or eliminate your financial exposure. Engaging counsel early — before you respond to the audit notice — is almost always the most cost-effective approach.
Can I sue my ERP vendor for a failed implementation?
Yes. Companies have successfully brought claims against ERP vendors and implementation partners for fraud in the inducement, misrepresentation, breach of contract, unfair business practices, and related torts when a vendor oversold the system's capabilities, misrepresented the timeline, or failed to deliver a working implementation. The strength of your claim depends significantly on what was represented during the sales process and how those representations compare to what was actually delivered. Although the vast majority of our cases have resolved amicably without the need for litigation, Tactical Law Group has filed federal litigation against Oracle on behalf of a client in exactly these circumstances.
How do ERP disputes typically get resolved?
Most ERP disputes are resolved through negotiated settlement before or during litigation, often without a trial. Strategic pre-litigation positioning — documenting the vendor's misrepresentations, identifying contractual breaches, and establishing damages — creates the leverage necessary to drive meaningful settlements. When a vendor or integrator refuses to negotiate in good faith, Tactical Law Group is fully prepared to pursue claims through arbitration or federal court litigation.
What ERP vendors does Tactical Law Group handle disputes against?
We can handle ERP disputes involving any major ERP vendor such as Oracle (including Oracle Fusion and NetSuite SuiteSuccess), SAP, Epicor, Sage, and other major enterprise and mid-market ERP platforms. We also represent clients in disputes with third-party implementation partners and system integrators regardless of the underlying ERP platform.
Does Tactical Law Group handle software audits outside of California?
Yes. While Tactical Law Group is based in San Francisco, California, we represent companies in software audit defense matters throughout the United States. Software audits are typically governed by the contract's choice-of-law provision, and we are experienced in navigating audits under various governing law frameworks and can associate in local counsel when required.  However, given California's focus on technology, including Artificial Intelligence, we have found that many software publishers select California law to govern their agreements. Our presence in California makes us well positioned to handle such disputes.
How is Tactical Law Group different from a large law firm for technology disputes?

Clients who come to Tactical Law Group receive direct, senior-level attention from an attorney with more than 35 years of technology litigation experience — not work product generated by junior associates with limited supervision. Because we are a boutique firm focused exclusively on technology disputes and licensing, we bring deeper subject-matter expertise at lower cost than firms where technology matters compete for attention alongside dozens of other practice areas.

Software Audit Defense

We advise large and small companies across the United States on software audit defense issues.  We have represented multiple clients from both the Bay Area and around the nation on responding to software audits brought by Oracle Corporation and Oracle America, Inc., as well as other software companies such Quest and Micro Focus. We have also defended copyright and breach of contract lawsuits involving software companies (including Oracle). Although we prefer being brought in as counsel before the audit starts, often we are retained only after the final audit report has issued and the client is in full blown crisis.  We have effective strategies to stabilize the situation and to successfully push back on overreaching audit findings.

Our lawyers have handled numerous claims involving false and misleading advertising.  We advise our clients on truth in advertising issues, and aggressively prosecute actions on their behalf when a competitor attempts to compete unfairly or misappropriates our clients' valuable intellectual property. In addition to our IP litigation practice in the federal courts, we also handle matters before the Trademark Trial & Appeal Board. If you need help with brand protection issues, we can assist, including taking actions to stop the infringement often without the necessity of protracted litigation.
